Capital Change Notice - shares issued to new Chair

Please find attached a Capital Change Notice announcing the issue of 141,377 ordinary shares.
Further to this morning’s announcement, these shares have been issued to Shelley Ruha ahead of her becoming PaySauce’s new Chair, effective 17 February 2022.

The shares have been issued based on the average market price, calculated today, of $0.2847 and are issued in lieu of cash Director fees that would otherwise be payable to Shelley for the period from 17 February 2022 to 30 September 2022.
