Appointment of new Director – David Gibson

The Board has appointed David Gibson to the Board of Freightways, effective on 1 April 2022. Mr Gibson will also stand for election at the Annual Shareholders Meeting currently scheduled to be held on 27 October 2022.

In accordance with Rule 2.6.1 of the NZX Listing Rules, the Board has determined that Mr Gibson is an independent director.

David is a professional director and investor. His current directorships include Goodman Property, Trustpower, NZME and Rangatira. David’s background is in finance with a 20 year career in investment banking having held senior positions and governance roles with Deutsche Bank and Deutsche Craigs, in New Zealand. He holds a Bachelor of Laws (Honours) and Bachelor of Commerce from the University of Canterbury. He is actively involved with several New Zealand growth companies.

Retirement of director – Mark Verbiest

After over 11 years on the Board, Mark Verbiest, the current Chair of the Board of Directors, has announced that he will be retiring from the Board with effect from 31 March 2022.

Mark joined Freightways Limited as an independent director in 2010 and has been Board Chair since June 2018.

Mark’s strong commercial acumen, knowledge of Freightways and broad experience as a listed company chair, has supported Freightways development, in particular over the past 3 years. Mark has been a key figure in the expansion of Freightways’ interests into temperature-controlled freight and waste renewal as well as helping guide the company through the challenges of Covid-19.

Mark comments, “It has been a real privilege to be involved with Freightways, an outstanding company with an outstanding team. Despite challenges thrown its way from time to time, it continues to perform extremely well. I will miss regular engagement with the team but intend to stay close.”

Appointment of new Board Chair – Mark Cairns

The Board has unanimously resolved to appoint Mark Cairns to replace Mark Verbiest upon his retirement. Mark joined the Freightways Limited Board of Directors as an independent director in April 2021.

Mark Cairns has been Chief Executive of Port of Tauranga, New Zealand’s largest and most successful port, since 2005, retiring in June 2021 to pursue a full-time governance career. Mark is also a Director of Meridian Energy Limited and Sanford Limited.

According to the outgoing Chair, “I am very pleased the Board agreed to appoint Mark as the next Chair. The Company is fortunate to have someone of Mark’s calibre, with deep knowledge of the freight and logistics sector, to assist in guiding Freightways as it moves forward.”
