Satisfaction of Scheme ‘HSR Condition’

Pushpay Holdings Limited (NZSX:PPH, ASX:PPH, ‘Pushpay’ or ‘the Company’) advises that the waiting period, in respect of the proposed scheme of arrangement, under the US Hart-Scott-Rodino Antitrust Improvements Act 1976 has expired. Accordingly, the US antitrust condition to the proposed scheme of arrangement (referred to as the “HSR Condition” in the Scheme Implementation Agreement) has now been satisfied.

Pushpay expects the Scheme Booklet, including the Independent Advisor’s Report and Meeting information, to be sent to shareholders in February 2023, with the Scheme Meeting expected to be held in March 2023.
