NZME has received eight director nominations ahead of its annual shareholders' meeting on June 3, 2025.
The nominations include two from Osmium Partners, LLC, four from JTG 4 Limited, and two from individual shareholders.
Osmium Partners, a substantial shareholder, nominated Adam Hoydysh and John Lewis.
JTG, owned by Jim Grenon, nominated Grenon himself, Philip Crump, Des Gittings, and Henri Eliot.
JTG also proposed the removal of all current directors and any directors appointed after April 28, 2025.
Louis Jackson Joseph and Stephen Donoghue-Cox, an associate of Barbara Chapman, nominated themselves and Steven Joyce, respectively.
NZME's board is actively engaging with shareholders on the nominations and has identified an alternative board composition proposal.
This proposal includes the nomination of Joyce as a director and potential chairman, as well as the engagement of Bowen Pan as a director.
The board believes this proposal is in the best interests of the company and its shareholders.
However, its implementation will depend on the outcome of the shareholder voting at the annual meeting.
