Truscreen Group Limited advises that it has issued the following new shares on completion of the Renounceable Rights Issue and Share Placement:

Class of security: Ordinary Shares (TRU) 132,565,777

Price: The shares were issued for NZ$0.02 (A$0.0187) per share.

Payment: Cash

Percentage of total class of securities issued: 23.99% (of the total number of ordinary shares after this issue)

Authority for issue: 70,748,386 NZX Listing Rule 4.3.1(a)
61,817,391 NZX Listing Rule 4.5

Number of securities after issue: Ordinary shares 552,591,116

Unlisted options 5,000,000 TRUOC. 13,000,000 TRUOD

Option terms: TRUOC. Exercisable at 10 cents per share with expiry date of 7 September 2024. TRUOD Exercisable at 4 cents per share with expiry date of 15 July 2026.

In accordance with NZX Listing Rule 4.17.9 (c) the Company provides the following information:

Shareholder applications for shares under the Renounceable Rights Issue (NZX Announcement 12 February 2024) for both entitlement and shortfall shares were satisfied in full.

In addition, the company placed 61,817,391 shares under NZX Listing Rule 4.5. Of these shares 35,817,391 were issued to three (3) shareholders who would have been entitled to subscribe for these shares in terms of their entitlement and shortfall. 26,000,000 shares or 4.7% of the total ordinary shares now on issue, were issued to a new shareholder introduced by a broker.
