Blackpearl has announced a conditional agreement to acquire B2B Rocket, a US-based AI sales automation company.

The acquisition, which is aimed at accelerating growth, involves the purchase of 100% of B2B Rocket's shares.

B2B Rocket specialises in automating outbound sales processes for small to mid-sized businesses using AI-powered agents.

The company has achieved product market fit and has approximately US$2.1 million (NZ$3.4m) in annual recurring revenue.

Under the terms of the agreement, Blackpearl will pay US$4m in cash and issue 1.725m shares as a completion payment.

There are also performance-based payments of up to US$8m over five years, linked to B2B Rocket hitting revenue milestones.

The completion of the acquisition is subject to certain conditions and is expected to be finalised in August 2025.

Blackpearl is currently evaluating funding options for the acquisition and preparing to file for a foreign exempt listing on the ASX.
