PGG Wrightson has announced a change in its board of directors, following the annual shareholders meeting.

Shareholders voted against the re-election of independent chair Garry Moore and independent deputy chair Sarah Brown.

The company's two largest shareholders were responsible for the votes against the re-elections, but did not provide any reasons.

In response, the remaining directors have reappointed former director John Nichol to the board.

Nichol, who previously served as a director and member of the audit committee from 2013 to 2019, is a chartered accountant with extensive experience in the agricultural sector.

His appointment is said to address the governance requirements of having two resident New Zealand directors and a board of four directors.

The board plans to reconvene in the coming days to discuss committee composition and other governance matters.
