Smartpay has announced the implementation of the scheme of arrangement with Shift4, resulting in Shift4 becoming the sole shareholder of Smartpay.

As per the terms of the scheme, Smartpay shareholders recorded on the company's share register as of the scheme record date, October 31, 2025, have been paid NZ$1.20 per share.

Following the implementation, trading in Smartpay shares on the NZX Main Board and ASX was suspended on October 29, 2025, and the company will cease to be listed on these exchanges.

The announcement also included a change of directors and officers, with Gregor Barclay, Matthew Turnbull, Geoffrey Carrick, Shelley Ruha, and Carlos Gil resigning as directors.

Taylor Lauber and Jordan Frankel have been appointed as directors, while Martyn Pomeroy will continue in his role as a director.
