Cleansing notice – Fixed rate senior secured Green Bonds

Kiwi Property Group Limited (KPG) gives notice under regulation 49G(2)(e) of the Financial Markets Conduct Regulations 2014 (Regulations) that it proposes to make an offer (Offer) for the issue of 6.5-year fixed-rate senior secured green bonds (Green Bonds).

The Offer will be made using short-form disclosure as the Green Bonds will rank equally with:
> KPG's NZ$125,000,000 fixed-rate senior secured green bonds maturing on 7 September 2023 which are quoted on the NZX Debt Market under ticker code KPG020;
> KPG's NZ$125,000,000 fixed-rate senior secured green bonds maturing on 19 December 2024 which are quoted on the NZX Debt Market under ticker code KPG030;
> KPG's NZ$100,000,000 fixed-rate senior secured green bonds maturing on 12 November 2025 which are quoted on the NZX Debt Market under ticker code KPG040; and
> KPG's NZ$150,000,000 fixed-rate senior secured green bonds maturing on 19 July 2028 which are quoted on the NZX Debt Market under ticker code KPG050,

(together, the Existing Bonds).

As at the date of this notice, KPG is in compliance with:
> the continuous disclosure obligations that apply to it in relation to the Existing Bonds; and
> its financial reporting obligations (as defined in Regulation 49H(7) of the Regulations).

As at the date of this notice, there is no information that is “excluded information” required to be disclosed for the purposes of clause 49H(2)(e) of the Regulations.
