WITHDRAWAL OF RESOLUTION AND DIRECTOR RESIGNATION

As set out in SkyCity Entertainment Group Limited’s (SkyCity) 2023 Notice of Annual Meeting (Notice), in August 2022 Sue Suckling announced her intention to retire from the Board in 2023 subject to a replacement New Zealand-based non-executive director being appointed to the Board.

On 28 September 2023, Donna Cooper’s appointment to the Board was formalised after all necessary regulatory approvals were received in relation to her appointment as a non-executive director to the SkyCity Board.

Accordingly, SkyCity now advises that:

(a) Sue Suckling will retire by rotation as a non-executive director of SkyCity at the 2023 Annual Meeting on 27 October 2023 pursuant to NZX Listing Rule 3.20.1(a) and will not offer herself for re-election at the 2023 Annual Meeting in accordance with NZX Listing Rule 2.7.1;

(b) consequently, Resolution 3 (Re-election of Sue Suckling), as set out in the Notice, has been withdrawn and will not be put to shareholders at SkyCity’s upcoming 2023 Annual Meeting; and

(c) Sue Suckling will retire from the Board with effect from the close of the 2023 Annual Meeting on 27 October 2023.

SkyCity Board Chair, Julian Cook, said “Sue has made an important contribution to SkyCity over her term, and has also provided valued continuity whilst the Board refresh has been undertaken. The Board thanks Sue for her service and wishes her the best in her future endeavours”.
