Director appointment
Winton Land Limited (Winton) is pleased to announce the appointment of Guy Fergusson as non-executive director, effective from today, 24 November 2023.
Winton Chair, Chris Meehan, said: “Guy brings a wealth of experience to Winton. With his vast corporate finance and capital markets experience, Winton is delighted to have Guy join the Board.”
Guy will be a member of both the Audit and Financial Risk Committee and the Nomination and Remuneration Committee. He will hold office until Winton’s 2024 Annual Meeting, at which time he will retire and offer himself for election by the shareholders.
Guy has 28 years of experience in corporate finance and international capital markets. He joined Grant Samuel in 2009 as Co-Head of Capital Advisory, where he worked for the last 14 years including most recently as the Co-CEO of Grant Samuel until September 2023. He has extensive boardroom experience and a wealth of knowledge working with different sectors, including real estate. The Board has determined that Guy is currently a non-independent director, given his previous role at Grant Samuel, who acted as Financial Adviser on Winton’s 2021 initial public offering.
Director's intention to retire
As announced by Winton on 17 November 2023, Winton’s existing shareholders Wanaka Partners, LLC (Wanaka Partners) and TC Akarua 2 Pty Ltd (as trustee of the TC Akarua Sub Trust) (Akarua), a real estate vehicle managed by Macquarie Asset Management, have disclosed entry into an agreement pursuant to which Wanaka Partners will sell 14,830,687 Winton shares (representing 5.0% of Winton’s total issued shares) to Akarua for NZ$2.50 per share (the Transaction). The Transaction will occur in two tranches, with the second tranche subject to shareholder approval under the Takeovers Code. David Liptak has notified the Board that he intends to retire as a Director from the Board immediately following the completion of the second tranche of the Transaction.
