Market purchase by the Company of its own shares

Notification is given that, pursuant to the authority granted at the Annual General Meeting of the Company held on 31 October 2023 to make market purchases of the Company's own shares of 25p, a market purchase of 52,458 ordinary shares in the capital of the Company was made today at a price of 396.0p per share. The shares will be held in Treasury.

Following the above purchase, the Company’s issued ordinary share capital will continue to be 502,664,868 ordinary shares of 25p each, of which 332,809 are held in Treasury and have no voting rights. The number of ordinary shares to be used in the calculation of voting rights is now 502,332,059.

The number of voting rights in the Company is now:

a)33,488,803 in respect of the ordinary shares (one vote for every 15 shares held);

b)30,198 in respect of the First Preference Stock (one vote for every £10 of stock held); and

c)29,484 in respect of the Preferred Ordinary Stock (one vote for every £20 of stock held).

Therefore, the total number of voting rights in the Company is 33,548,485.

The above figure (33,548,485) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, The City of London Investment Trust plc under the FCA’s Disclosure Guidance and Transparency Rules.
