Smartpay Holdings Limited (Smartpay) advises that it has today been granted initial orders from the High Court in respect of the Scheme of Arrangement with Shift4 Holdings Limited and Shift4 Payments, LLC (the Scheme). A copy of the sealed initial orders is attached.
For clarity, the granting by the High Court of initial orders is not High Court approval of the Scheme. Smartpay will seek that the High Court grant final orders approving the Scheme if shareholders approve the Scheme at the Scheme Meeting.
The Scheme Booklet for the Scheme, which will include the recommendation by Smartpay’s directors, the notice of meeting, and the Independent Adviser’s Report, is expected to be released to the NZX and ASX market announcement platforms tomorrow. That announcement will also have details of the Scheme meeting and indicative dates for the key remaining steps in the Scheme process.
