Third Age Health (NZX: TAH) advises that its Founder & Director, Bevan Walsh, has arranged to transfer legal title to 1,734,853 ordinary shares in TAH (representing approximately 17% of the total TAH shares on issue) (the Transfer Shares) to Lenore Bauer as part of their agreed relationship property settlement.

Once completed, the transfer of the Transfer Shares will replace and extinguish Lenore’s existing beneficial interest in 1,514,972 TAH shares which are legally held by Bevan (an interest which has previously been disclosed in each of TAH’s annual reports).

The transfer of shares as part of the settlement of the relationship property matters between Bevan and Lenore was also foreshadowed in disclosures made in the company’s NZX Listing Profile (11 February 2021, note 1, page 20, under the section “Substantial Shareholdings”), which anticipated the possibility of a future reorganisation of their shareholdings.

Bevan will also have a beneficial interest in 149,317 shares (being 1.5% of the total TAH shares currently on issue) pursuant to a conditional option agreed between Bevan and Lenore as part of their settlement arrangement.

Bevan Walsh commented: “This share transfer reflects the completion of a long-standing interim personal agreement between Lenore and me. I remain fully supportive of the Board and TAH management team. I am confident in the company’s continued ability to deliver for its Customers and Shareholders.”

Lenore commented: “I am encouraged by the most recent performance of the business, and look forward to the next chapter. I remain supportive of Bevan and the TAH Board for the company’s continued growth.”

Disclosure notices for each of Bevan and Lenore will be filed on the NZX upon completion of the transfer of the Transfer Shares.
