GMT Bond Issuer Limited ("GMB") (a wholly owned subsidiary of Goodman Property Trust ("GMT")) gives notice under regulation 49G(2)(e) of the Financial Markets Conduct Regulations 2014 ("Regulations") that it proposes to make an offer ("Offer") for the issue of 5 year fixed rate, senior secured green bonds ("Green Bonds").
The Offer will be made using short-form disclosure as the Green Bonds will rank equally with:
1. GMB's NZ$100,000,000 fixed rate senior secured bonds maturing on 23 June 2022 which are quoted on the NZX Debt Market under ticker code GMB030;
2. GMB's NZ$100,000,000 fixed rate senior secured bonds maturing on 31 May 2024 which are quoted on the NZX Debt Market under ticker code GMB040; and
3. GMB's NZ$100,000,000 fixed rate senior secured bonds maturing on 01 September 2023 which are quoted on the NZX Debt Market under ticker code GMB050,
(together, the "Existing Bonds").
As at the date of this notice, GMB is in compliance with:
(a) the continuous disclosure obligations that apply to it in relation to the Existing Bonds; and
(b) its financial reporting obligations (as defined in regulation 49H(7) of the Regulations).
As at the date of this notice, there is no "excluded information" required to be disclosed for the purposes of regulation 49H(2)(e) of the Regulations.
