Manawa Energy Limited (Manawa Energy) has today announced that following the successful completion of the Firm Offer of five year, unsecured, unsubordinated, fixed rate bonds (Bonds), the Exchange Offer is now open.
Under the Exchange Offer, all New Zealand resident holders of the MNW150 bonds (maturing on 15 December 2022) entered on the register as at 5.00pm on Friday, 19 August 2022 have the opportunity to apply to exchange some or all of their MNW150 bonds for Bonds. There is no ability to apply for additional Bonds under the Exchange Offer.
The Interest Rate for the Bonds has been set at 5.36% per annum and the Exchange Offer amount has been set at up to $50,000,000. The key terms of the Exchange Offer, and details of how to apply under the Exchange Offer, are contained in the Indicative Terms Sheet provided to the NZX on Monday, 22 August 2022.
The offer is being made as an offer of debt securities of the same class as existing quoted debt securities pursuant to the Financial Markets Conduct Act 2013. The notice required by the Financial Markets Conduct Regulations 2014 has been provided to NZX with this announcement.
