Embark – Updated timetable for Australian re-domiciling and NZX delisting

On 19 May 2023 Embark Education Group Limited (Embark) (NZX: EVO, ASX: EVO) announced that its annual meeting would include consideration of resolutions in relation to Embark re-domiciling by listing on the Australian Securities Exchange (ASX) and delisting on the NZX.

The Notice of Meeting and accompanying Scheme Booklet included an indicative timetable. Following further discussions with NZX and ASX, a revised timetable for events after the Annual Meeting is set out below:

Listing of the New Parent on ASX 27 June 2023
Record Date for the scheme consideration 28 June 2023
Implementation Date – date of issue and allotment of New Parent Shares, last day of deferred settlement trading on ASX 5 July 2023
Delisting of Embark from NZX Main Board following implementation 6 July 2023
ASX trading for New Parent on a normal T+2 basis begins (ASX code: EVO) 6 July 2023
*Dates above remain indicative only given, among other things, the scheme of arrangement remains subject to all necessary approvals from the New Zealand High Court and other regulatory authorities.

It is noted that the scheme of arrangement to implement the redomicile remains conditional on, among other things, the approval of Embark’s Shareholders at the upcoming Annual Meeting to be held on 6 June 2023 at 11:00am (NZST) at the offices of Link Market Services, Level 30, PwC Tower,
15 Customs Street West, Auckland, and via the Link Market Services Virtual Meeting platform at www.virtualmeeting.co.nz/evo23.

Embark encourages all shareholders to attend and vote at the annual meeting, or cast a postal or proxy vote in advance. If voting in advance, the latest time and date for receipt of proxies for the annual meeting is 4 June 2023 at 11:00am (NZST).
