Subject: Enprise Group Limited (“ENS”) – Trading Halt of Securities

Message:

NZ RegCo advises that, at the request of the issuer, it has placed a trading halt on Enprise Group Limited (“ENS”) ordinary shares. The trading halt was placed at 2.53pm today.

The trading halt is in place while ENS considers details of an injunction granted today, and the implications for ENS. The injunction relates to the following. On 1 August 2022, ENS advised the market that its subsidiary Kilimanjaro Consulting Pty Ltd (“Kilimanjaro”) had formally disputed retrospective reduction in margins that Kilimanjaro receives on existing sales of MYOB Exo software. On 16 December 2022, ENS advised the market that Kilimanjaro had commenced legal proceedings against MYOB.

The trading halt will remain in place until the earlier of an announcement by ENS about the injunction, or market open Monday, 7 August 2023.
