Details of transactions and events giving rise to substantial holding

Details of the transactions or other events requiring disclosure:
The SIAM Trust acquired a relevant interest in 1,855,000 fully paid ordinary shares in BFG (Nominee Shares) (prior to the return of capital share cancellation, the relevant interest was 2,650,000 fully paid ordinary shares) in connection with the transfer of the beneficial ownership of the Nominee Shares from JCR Capital Limited, 730 Trustee Company Limited and GL JCR CMJR Guardian Limited as co-trustees of the JCR Investment Trust (JCR Investment Trust) to SIAM Trust as nominee for nil consideration (Transfer). The Nominee Shares were initially acquired by JCR Investment Trust upon exercise of a conditional call option granted under a Transaction Agreement dated 23 August 2011 (Transaction Agreement), and the terms upon which those shares have been held by JCR Investment Trust include the right for them to be transferred to a nominee. A copy of the Transaction Agreement pursuant to which the Nominee Shares were acquired by JCR Investment Trust was attached to the substantial product holder notice filed by JCR Investment Trust on 26 September 2011. The Transfer has resulted in SIAM Trust beginning to have a substantial holding in BFG.
