Potentia nominated director candidate withdraws

The Board of Vista Group International Limited (NZX & ASX: VGL) refers to the special meeting of shareholders that has been requested by Admetus Capital Limited (Potentia). The special meeting is to vote on:

a. the removal of two existing directors, namely Vista Group’s Chair of the Board and the Board’s founding global film industry expert; and

b. the appointment of two Potentia nominated directors, namely an executive of Potentia, Amitesh Chand, and the current Chair of MYOB, DroneShield and Macquarie Technology Group, Peter James.

On 12 October 2024, Mr James notified the Board that he does not wish to proceed with Potentia’s nomination for his appointment as a director of Vista Group, and has withdrawn his consent to being appointed a director with immediate effect.

Mr James also advised the Board that he does not wish the resolution for his appointment to be put to Vista Group’s shareholders, and that he has informed Potentia of his decision.

The Board has sought confirmation from Potentia that the resolution for the appointment of Mr James as a director will be withdrawn for the purposes of the notice of meeting, as requested by Mr James.
