Share Buyback Programme to Commence

In accordance with Listing Rule 4.14.2, Napier Port Holdings Limited (“Napier Port”) announces that it has approved an on-market share buyback programme to purchase up to 0.5% of its ordinary shares.

The share buyback will only involve the acquisition of shares on the NZX Main Board and may occur from 26 May 2025 for a period of up to 12 months from the date of this notice. The number of shares purchased under the share buyback programme from time to time will be notified to the NZX within one business day following the date on which shares are bought back.

The acquired shares will be held as treasury stock upon acquisition intended to be used for the purposes of Napier Port’s employee share ownership plans. Napier Port currently intends that the purchase of shares will be limited to approximately 260,000 shares.

Napier Port reserves the right to suspend without notice or terminate the buyback programme at any time.
