NZ Windfarms Shareholders Vote in Favour of Scheme

Shareholders in NZ Windfarms Limited (NZX:NWF) (“NZ Windfarms”) have today voted in favour of the scheme of arrangement under which Meridian Energy Limited (“Meridian”) will acquire all of the fully paid ordinary shares in NZ Windfarms that it does not already own (the “Scheme”).

The resolution to approve the Scheme was passed by the requisite majorities of shareholders – namely 75% or more of the votes cast in each interest class and more than 50% of the total number of NZ Windfarms shares on issue were voted in favour of the Scheme.

The Scheme remains subject to final orders being granted by the High Court and satisfaction (or waiver) of other customary implementation conditions.
The final hearing at the High Court in Auckland is currently scheduled for 10am on 16 July 2025.

NZ Windfarms’ shares are expected to be suspended from trading on the NZX Main Board two working days after the final orders of the High Court are received.

Implementation of the Scheme is expected to occur 10 working days from that date.
On the implementation date, NZ Windfarms’ shareholders (other than Meridian) will be paid the Scheme consideration of 25 cents per share in cash.

Shareholders do not need to take any further action at this stage.

A further announcement of the dates for implementation of the Scheme will be made following receipt of the High Court’s final orders.
