Scheme of arrangement – Final court approval received

NZ Windfarms Limited (NZX:NWF) (“NZ Windfarms”) is pleased to announce that it has received final orders from the High Court approving the scheme of arrangement under which Meridian Energy Limited (“Meridian”) will acquire all of the fully paid ordinary shares in NZ Windfarms that it does not already own (the “Scheme”).

A copy of the sealed final orders of the High Court in relation to the Scheme is attached.

Subject to meeting final conditions and the Scheme being implemented, NZ Windfarms has applied to NZX for trading in its shares to be suspended and for NZ Windfarms to be delisted from NZX from close of trading on the Implementation Date.

Subject to satisfaction and/or waiver of the remaining conditions of the Scheme (set out in Section 4.10 (Status of Conditions) of the Scheme Booklet), the timetable for implementation of the Scheme is:

- Trading Halt Date – 18 July 2025 (at close of trading)

- Record Date – 23 July 2025 (at 5pm)

- Implementation Date – 30 July 2025

- Delisting Date – 30 July 2025 (at close of trading)

Holders of NZ Windfarms’ shares at 5.00pm on the Record Date will be entitled to receive the Scheme consideration of 25 cents per share in cash, which will be paid on the Implementation Date.

NZ Windfarms shareholders who wish to participate in the Scheme do not need to take any further action, other than to ensure that MUFG Capital Markets (NZ Windfarms’ share registrar) has their correct bank account details. Information on how to do this is provided in Section 4.13 (“Payment of Consideration”) of the Scheme Booklet.

NZ Windfarms shareholders who do not wish to participate in the Scheme must sell their shares before close of trading on the Trading Halt Date.
