Rakon Director retirement and election of new Chair
12 November 2025 – Rakon Limited (NZX:RAK), a world leading manufacturer of precision timing and frequency control solutions, today announces in accordance with Listing Rule 3.20.1 the retirement of Lorraine Witten as Director and Chair of the Board of Directors of Rakon and the election of Brent Robinson as the Chair of Rakon, both effective from 28 November 2025.
Ms Witten who has been a director of Rakon since March 2017 and Chair since April 2022 has advised she will step down as Chair and as a director with effect from 28 November 2025.
Mr Robinson’s term as Chair will run from 28 November 2025 through until the close of the 2026 Annual Meeting.
The Board has determined in accordance with Listing Rule 2.6.2 that Mr Robinson is not an Independent Director. The Board notes Recommendation 2.9 of the NZX Corporate Governance Code recommending that an issuer should have an independent chair but has determined that Mr Robinson’s extensive experience of the business and industry is important for the leadership of Rakon at this time.
Chair Lorraine Witten says: “My retirement and Brent’s appointment as Chair follow the appointment of three new independent directors. Brent will bring a wealth of business and industry experience to the role.”
Mr Robinson was last re-elected as a director of Rakon at the Annual Meeting held in August 2025. He has been with Rakon for over 44 years including 36 years until 31 March 2022 as Managing Director/CEO, during which time Rakon established its global operations and markets.
Mr Robinson is an Honorary Fellow of the Institute of Professional Engineers New Zealand and received the New Zealand Hi-Tech Trust – Flying Kiwi Award in 2011. He is a former director of Quantifi Photonics Limited.
Following Ms Witten’s retirement the Rakon Board will comprise five directors, three of whom are Independent Directors.
Brent Robinson thanks Ms Witten for her professionalism and commitment as a Director and Chair of the Board and her tenure as a member and the Chair of the Audit and Risk Committee. “Under her leadership Rakon has navigated accelerated growth, shifting market dynamics and volatility, new business opportunities and offshore interest in Rakon with great strength and composure and a firm commitment to good governance and the promotion of the interests of all shareholders.”
Mr Robinson says he looks forward to working constructively with the Board and management to oversee the continued execution and evolution of Rakon’s strategy — ensuring it remains aligned with shareholder interests and the company’s long-term growth objectives.
